Overview

Anthony (Tony) Baldanza practices general corporate/commercial law including negotiated transactions, competition law and foreign investment law.

Tony previously served as Chair and Co-Chair of Fasken’s Competition, Marketing & Foreign Investment Group. In his competition law practice, Tony provides advice and representation in relation to mergers, cartels, abuse of dominance and other restrictive trade practices. In his foreign investment controls practice, Tony advises foreign-controlled enterprises on the application of the Investment Canada Act – including its national security provisions – when establishing a new business or acquiring an existing business in Canada, and assists clients in clearing transactions through the relevant agencies. Tony is also experienced in clearing transactions through Transport Canada pursuant to the Canada Transportation Act.

Tony also assists clients in relation to a wide range of negotiated transactions and other corporate/commercial matters, including mergers and acquisitions, joint ventures, corporate reorganizations and supply and distribution arrangements.

Tony’s extensive knowledge in the area of competition and foreign investment law, including national security reviews, is highly regarded and listed in a wide range of reports and surveys. He has been recognized by legal directories including Chambers Canada, Chambers Global, Lexpert, The Best Lawyers in Canada and The Legal 500 Canada. Tony is the past Chair of both the Foreign Investment Review Committee and the Mergers Committee of the Canadian Bar Association’s Competition Law Section.

  • Divestiture of Ridley Terminals Inc. by Canada Development Investment Corporation on behalf of the Government of Canada for C$350,000,000, [Deal - Canada Development Investment Corporation], The transaction is the first Canadian privatization where local First Nations obtained an equity interest as part of the disposition. The First Nation participation will position the RTI transaction as one of the most important for 2019 and have lasting significance for comparable transactions in the future. The transaction resulted in one of the first joint ventures between US private equity and First Nations. Given the uncertainties associated with acquisitions of infrastructure, project and natural resource-based assets in Canada, this transaction can be used as a model of how to manage and structure similar private-sector acquisitions.
