Overview

Douglas Scott has a broad corporate and commercial practice focused more recently on representing the public sector in PPP transactions. Doug has been an active leader in many significant mergers and acquisitions transactions over the course of his career.

Advising clients throughout transactions, Doug coordinates and synthesizes the advice of practioners across areas including real estate, tax, finance, labour and employment, pension, environmental and intellectual property .

Over the past 15 years, Doug has developed valuable experience in public-private partnership transactions. Acting for procuring authorities, project bidders and project lenders, Doug has assisted clients on transactions related to social infrastructure, transportation and security.

Recent experience in PPP transactions includes:

CSEC Headquarters

Advising the federal Department of Justice on behalf of Defence Construction Canada and CSEC in the design, building, financing, and maintaining project for the construction and maintenance of a new headquarters for CSEC in Ottawa, Canada.

DRIC Project

Counsel to the Government of Canada in the DRIC Project which consists of the estimated $4 billion development of a new publicly owned bridge and associated roads crossing between Windsor, Ontario, and Detroit, Michigan, together with border facilities and related road work.

  • OPP Modernization AFP project
    Counsel to Concert Properties Inc. with respect to its 50% equity interest in the Project Co awarded the concession.
  • Forensic Services and Coroner’s Complex Project in Toronto Ontario
    Counsel to Concert Properties Inc. with respect to its 50% equity interest in the Project Co awarded the concession.
  • CPR in public-private partnership for replacement rail tunnel under Detroit River
    Advised Canadian Pacific Railway in the formation of the Continental Rail Gateway coalition to pursue opportunities for the development funding and construction of a replacement tunnel under the Detroit River.
  • Privatization of Highway 407
    Advised Province of Ontario on the 99 year lease for Highway 407.
  • CP/OMERS Detroit River Tunnel Partnership
    Acted as lead lawyer for CP on all aspects of this transaction including negotiating and settling all of the relevant agreements.
  • Goderich Port Management Corporation
    Advice with respect to the creation of a non-profit corporation to manage the Port of Goderich on behalf of the Corporation of the Town of Goderich and with respect to all ancillary and related agreements.

Doug is the former Chair of the Business Law Department, and was a member of the executive committee of the Toronto office.
