Kareen A. Zimmer is a corporate and business lawyer, providing practical and timely legal advice to Canadian, American and international clients in mergers & acquisitions, complex commercial transactions and regulatory matters.

Her experience includes private equity investments, cross-border transactions, public private partnerships, joint ventures and corporate reorganizations. Kareen's practice spans a variety of sectors, including insurance & other financial services, infrastructure & transportation (bridges, rail and ports), lotteries & gaming and manufacturing.

Kareen provides regulatory advice to financial institutions. She works with credit unions, banks, insurance agencies, insurance companies and trust companies, in matters relating to:

  • Mergers and acquisitions, permitted investments and ownership structures
  • Creation of new products/services and consumer protection
  • Outsourcing arrangements and services agreements

With a special interest in crown corporations and governmental bodies, Kareen provides advice on high-profile and sensitive matters, including governance issues, asset acquisitions and divestitures, public-private partnerships, complex services agreements, and alternate service delivery arrangements.

Kareen also practises advertising and marketing law and advises on contests, lotteries and gaming legislation and policy in BC and across Canada.

  • Rogers Communications Inc. acquires Shaw Communications Inc. for CA$26 billion, [Deal - Rogers Communications Inc.], Rogers-Shaw merger closes, forming new telecom giant
  • Mavrck secures US$135 million investment from Summit Partners and acquires Later to build a platform that drives revenue for brands and creators, [Deal - Clout.io Holdings, Inc. dba Mavrck], Leading Influencer and Social Platforms Mavrck and Later Unite to Solve Measurement and Monetization for the Creator Economy.
  • Motion Metrics International Corp sold for C$150 million, [Deal - Motion Metrics International Corp.], Scottish engineering firm acquires Canadian mining technology firm, a leading developer of innovative AI and 3D rugged machine vision technology used in mines worldwide.
  • The Estée Lauder Companies acquires DECIEM Beauty Group Inc. (enterprise value C$2.8 billion), [Deal - Selling Shareholders], Majority interest in DECIEM Beauty Group sold
  • Wheatsheaf acquires all remaining shares of Ostara in arrangement transaction, [Deal - Ostara Nutrient Recovery Technologies Inc.], Ostara Nutrient Recovery Technologies’ remaining shares acquired by Wheatsheaf Group Limited.
  • Marsh Canada Limited sells portfolio of insurance brokerage business in British Columbia to Wilson M. Beck Insurance Services Inc., [Deal - Marsh Canada Limited], Marsh Canada Limited sells portfolio of insurance brokerage business in British Columbia to Wilson M. Beck Insurance Services Inc.
  • Divestiture of Ridley Terminals Inc. by Canada Development Investment Corporation on behalf of the Government of Canada for C$350,000,000, [Deal - Canada Development Investment Corporation], The transaction is the first Canadian privatization where local First Nations obtained an equity interest as part of the disposition. The First Nation participation will position the RTI transaction as one of the most important for 2019 and have lasting significance for comparable transactions in the future. The transaction resulted in one of the first joint ventures between US private equity and First Nations. Given the uncertainties associated with acquisitions of infrastructure, project and natural resource-based assets in Canada, this transaction can be used as a model of how to manage and structure similar private-sector acquisitions.
