Caroline’s practice includes advising Canadian and foreign corporations on a wide range of tax matters. Caroline provides strategic advice to private and public corporations on Canadian M&A transactions, complex structures, cross-border transactions and tax considerations on deals matters. Caroline is also known for structuring butterfly transactions and assisting clients in obtaining tax rulings or in assisting with other strategic representations with the Canadian tax authorities.
Caroline's experience includes structuring indigenous equity partnerships, Clean Economy Investment Tax Credits, partnerships or joint ventures and partnerships for energy or mining projects, exchangeable shares structures, royalty agreements, initial public offerings, special purpose acquisition companies (SPAC), butterflies and tax bumps. Caroline is recognized for her pragmatic advice and her collaborative style.
Prior to joining Fasken, Caroline held positions with leading energy companies. While in industry, she was working with senior executives to structure Canadian and cross-border joint ventures, partnerships and other transactions involving pipelines, natural gas processing plants, LNG projects and other major infrastructures projects. She was also leading audit defense for complex transactions and cross-border structures. She also led an industry initiative, winning several rulings leading to setting-up Qualifying Environmental Trusts (QET) to set aside funds for pipeline abandonment.
While in industry, Caroline was the co-chair of the tax committee for the Canadian Energy and Pipeline Association (CEPA) and was a member of the National Committee and the Calgary board of directors for the Tax Executive Institute (TEI). Caroline is a long time tutor for the Chartered Professional Accountants of Canada (CPA), tutoring programs for Canadian and International tax reorganizations. Caroline also speaks on national tax conferences and writes articles for the Canadian Tax Foundation and other tax organizations in Canada.
