In-house counsel often bear the responsibility for protecting their corporations from the risks and liabilities that can result from privately negotiated M&A transactions. These risks range from pre-closing concerns such as the use of confidential or competitive information to risks associated with a failure to close, and ultimately, to operational risks and liabilities arising after the closing is completed. Elimination of these risks is rarely, if ever, possible; however, in this session, we will explore ways to reduce these risks.
