There may be no more unpleasant surprise for businesspeople (and their counsel!) than being held bound to a proposed deal outlined in a letter of intent or term sheet they believed was non-binding. But it occurs more often than many might expect, and perhaps in BC more than any other Province. Avoiding key risks in this area is therefore critical, and to assist we’ll discuss the most instructive – and colourful – cautionary tales, as well as key practical “dos” and “don’ts”.
