Gina Batrouni is a paralegal who has been specializing in various areas of business law since 1998. She joined Fasken’s Banking & Finance group in 2012.
With respect to financings, purchases or sales of assets, she participates in the due diligence process by conducting searches in various registers, including the Register of personal and movable real rights, registries of the Quebec Ministry of Justice, Superintendent of Bankruptcy, Quebec Enterprise Register, Industry Canada, the Bank of Canada and the personal property security registry of other Canadian provinces. She analyzes the results of these searches and drafts all necessary search reports for the preparation of legal opinions rendered by lawyers.
Finally, she prepares and registers the requisitions of registrations connected with securities and their discharge, both at the provincial and national level.
Gina also helps the lawyers prepare closing documents in connection with various corporate transactions involving, among other things, mergers, acquisitions and fiscal and commercial reorganizations. She conducts minute books reviews and various corporate searches in the context of a due diligence. She also attends pre-closings and closings with the lawyers, and prepares, for clients and lawyers of the firm, documentation relating to, among other things, incorporations, organizations, amendments, continuances, amalgamations, dissolutions, share provisions, extra-provincial registrations, rollovers and various other share transactions.
