Overview

Mary Wallace is a natural resources and infrastructure lawyer in Fasken’s Vancouver office. Mary works on a variety of commercial and regulatory matters, with a practice focused on infrastructure, mining, energy, transportation, and natural resources.

Mary’s practice includes advising owners with respect to procurement processes and contracts for infrastructure and other construction projects, including marine transportation infrastructure and pipelines, as well as operational commercial arrangements.

Mary frequently advises clients on environmental assessments, permitting, agreements with Indigenous nations, and environmental and regulatory compliance issues. She also assists with acquisitions, divestitures, and other corporate transactions involving natural resource, energy, and transportation assets. 

Client Work

  • Divestiture of Ridley Terminals Inc. by Canada Development Investment Corporation on behalf of the Government of Canada for C$350,000,000, [Deal - Canada Development Investment Corporation], The transaction is the first Canadian privatization where local First Nations obtained an equity interest as part of the disposition. The First Nation participation will position the RTI transaction as one of the most important for 2019 and have lasting significance for comparable transactions in the future. The transaction resulted in one of the first joint ventures between US private equity and First Nations. Given the uncertainties associated with acquisitions of infrastructure, project and natural resource-based assets in Canada, this transaction can be used as a model of how to manage and structure similar private-sector acquisitions.
