Fasken Martineau advises Concordia Healthcare on its US$3.5 billion acquisition of Amdipharm Mercury Limited

Fasken Martineau announced today that it acted as Canadian counsel to Concordia Healthcare Corp. (“Concordia”) in connection with its agreement to acquire UK-based Amdipharm Mercury Limited (“AMCo”). The deal is valued at US$3.5 billion which will be paid for by Concordia through a combination of cash and shares of Concordia, together with a performance-based earn-out payable in cash.

Toronto (Canada) - Fasken Martineau, a leading international business law and litigation firm, announced today that it acted as Canadian counsel to Concordia Healthcare Corp. (“Concordia”) in connection with its agreement to acquire UK-based Amdipharm Mercury Limited (“AMCo”). The deal is valued at US$3.5 billion which will be paid for by Concordia through a combination of cash and shares of Concordia, together with a performance-based earn-out payable in cash.

Concordia, headquartered in Oakville, Ontario with facilities in Bridgetown, Barbados, Roanoke, Virginia, Chicago, Illinois and Kansas City, Missouri, is a diverse healthcare company focused on legacy pharmaceutical products and orphan drugs.

In April 2015 Fasken Martineau acted as Canadian counsel to Concordia on its other major acquisition of the year of a portfolio of products from Covis Pharma. The all-cash deal was valued at US$1.2 billion.

Also advising Concordia on the acquisition of AMCo were Sullivan & Cromwell LLP (US and UK) and Simmons & Simmons (UK).
