Sylogist completes acquisition of Epic Data

Sylogist Ltd (Sylogist) acquired all the common shares of Epic Data International Inc (Epic Data) and Epic Data’s China-based operations were spun out to Epic Fusion Corp (Epic Fusion). The transaction, which was completed through a court approved plan of arrangement (the Transaction) under the Business Corporations Act (British Columbia). Epic Data has produced manufacturing execution and warehouse management solutions for nearly 40 years. Epic Data solutions synchronize supply chain and production activities to achieve real-time visibility of manufacturing metrics that reduces cycle times and costs, optimizes production planning and control, and boosts quality and efficiency. As a result of the Transaction, Epic Fusion holds all of Epic Data’s former interests in in the Peoples’ Republic of China (PRC), including a 100% ownership in Epic Data Systems (Shanghai) Co Ltd and a 51% ownership interest in Epic-Hust Technology (Wuhan) Co Ltd Epic Fusion also received from Epic Data certain working capital and a perpetual, royalty-free license entitling Epic Fusion to use specific Epic Data software in the PRC.
