Advised Vale SA on the sale of its interest in the Lubambe copper project in Zambia to EMR Capital, an Australian private equity fund, in a competitive bid process including numerous Chinese bidders. The transaction included advising on the structure and implementation of a competitive bidding process involving bidders from numerous jurisdictions; negotiation and completion of all transaction documents, including sale and purchase agreement, terms of Government consents and terms of ongoing Government 20% stake in the project; extensive evaluation of labour and employment and environmental aspects/complements of the project; extensive discussions and negotiations with tax authorities on interpretation of Zambian tax laws and interpretation of previously established investment protection and stability arrangements for the project; and unwinding of offshore holding structures.
