Varian Medical Systems, Inc. ("Varian") and the Nova Scotia Health Authority formed an unprecedented 10-year, C$175 million multi-disciplinary oncology partnership (MDOP) designed to deliver value across the Nova Scotia Health system by accelerating the patient journey from screening to survivorship.
As part of the long-term collaboration and partnership:
- Nova Scotia Health will purchase up to C$175 million of hardware, software, digital solutions, and services, and contribute to the development of a digital imaging concept
- Varian will establish a new office in Halifax in the first half of 2024 and has committed C$50 million in payroll and rent over the 10 years, providing a minimum of 60 jobs in Nova Scotia over that period. Varian will work from this Nova Scotia office to develop a digital imaging concept, and leverage the expertise of Siemens Healthineers in the area of artificial intelligence (AI) as an incubator for new products and solutions. If the digital imaging concept is successfully commercialized, Varian will establish an MDOP Innovation Fund for future Nova Scotia Health Innovation Hub projects.
Fasken advised Varian and its Chief Counsel, MDO (Natasha Martin) in the development, drafting and negotiation of a Master Collaboration Agreement governing the collaboration and partnership with the Nova Scotia Health Authority and incorporating a series of contractual documents for: the design, development, testing and licensing of a Varian digital imaging prototype solution, and for hardware, software, services (including SaaS) and related matters.
