Fasken acted as counsel to Student Transportation of Canada Inc. (“STC”) and its wholly-owned subsidiaries, Pacific Western Transportation Ltd. (“PWT”) and Diversified Transportation Ltd. (“Diversified” and, together with STC and PWT, the “STC Group”), in the sale of their respective transportation service operations to Keolis Canada Inc. (“Keolis”).
This strategic acquisition was completed by way of a share purchase agreement, whereby PWT and Diversified indirectly sold all of the issued and outstanding shares of Prince George Transit Ltd., Pacific Western Charters Ltd., Red Arrow Express Ltd., PWTransit Canada Ltd., PWTransportation Ltd. and Whistler Transit Ltd., representing the motorcoach and transit operations of PWT and Diversified, to Keolis.
Fasken provided comprehensive legal support throughout the transaction, managing critical aspects, including regulatory approvals, employee and pension matters and tax structuring advice. Prior to the consummation of the purchase and sale agreement, Fasken acted for the STC Group in completing an internal reorganization to streamline the assets of the STC Group.
The STC Group, along with its parent company, Student Transportation of America, Inc. (“STA”), is owned by Caisse de dépôt et placement du Québec and Ullico Inc. The STC Group, together with STA, is North America’s third largest provider of school bus transportation services, operating more than 16,000 vehicles throughout the US and Canada.
