Overview

Thomas has significant transactional experience with infrastructure projects in all sectors throughout the world and he has worked in financial centres in Asia, Europe and North America. He has represented lenders, sponsors and governments on transactions in the mining, oil and gas, energy (conventional and renewable) and transport sectors in numerous jurisdictions.

Thomas is especially known for his work in the mining sector, and he is a frequent speaker at conferences and has published numerous articles on the natural resources sector and the project finance field in general. He is internationally recognised for his work in mining transactions in "Who's Who Legal: The International Who's Who of Business Lawyers".

  • European Bank for Reconstruction and Development (EBRD)/Zgounder mine expansion, [Deal - European Bank for Reconstruction and Development], Fasken acted for EBRD on the US$100 million project financing facility to Aya Gold for the upgrade and expansion of the Zgounder silver mine in Morocco. Funds were sourced both from EBRD (US$92 million) and Climate Investment Funds, through its Clean Technology Fund (CTF) (US$8 million).
  • First Quantum Minerals Completes US$1.3 Billion Senior Notes Offering, [Deal - First Quantum Minerals], Senior Notes Offering.
  • Harmony Energy Income Trust plc (HEIT plc), an investment company listed on the Specialist Fund Segment of the Main Market of the London Stock Exchange, put in place a £130 million debt facility and completed its associated internal corporate restructuring, [Deal - HEIT Holdings Ltd], Fasken advised HEIT plc and its group on the corporate conditions precedent and conditions subsequent in connection with its £130 million debt facility, including a corporate restructuring with its wholly owned subsidiary HEIT Holdings Ltd and ten of its special purpose vehicle subsidiaries, and the group’s intercompany management services and financing arrangements.
  • Ecobank Development Company Limited announces closing of circa US$200 million debt loan facility, [Deal - Ecobank Development Company Limited], Pan-African banking conglomerate closes on significant transaction ahead of federal elections in Nigeria.
