Bruce MacPhail is a senior counsel with over 30 years’ experience, primarily with national and international law firms.
He has extensive knowledge in a broad variety of areas related to corporate and transactional practise, including public and private financings, public and private mergers and acquisitions (both friendly and hostile), proxy fights and securities registration matters.
Bruce also has significant industry experience in the power area, having being involved in development and financing of electricity assets, as well as tolling arrangements and M&A transactions involving those assets. He has extensive experience as lead counsel responsible for financings and securities compliance by public issuers engaged primarily in power generation.
He has experience with formation and administration of business trusts and partnerships, including public income trusts, private real estate investment trusts and a public limited partnership.
Bruce advises capital markets participants (both Canadian and foreign) on registration and compliance requirements.
Bruce also has experience providing advice in relation to the creation of digital marketplaces, and the registration and compliance requirements related thereto.
He has experience in trading in carbon credits.
