Caitlin is a partner and co-leads Fasken’s national Private Equity Group. Her practice focuses on private equity investments (LBOs and minority positions), large cross-border M&A, IPOs and privatizations. She is recognized as a leading lawyer by various publications and rankings, including Chambers, Lexpert, Legal 500, IFLR 1000 and Best Lawyers. Clients describe her as having ‘very strong commercial vision’ and an ‘excellent advisor and business partner’.
Caitlin works closely with a variety of private equity funds and their portfolio companies in M&A, governance matters and day to day servicing. She also regularly acts on behalf of public companies and underwriters in going public transactions, equity offerings and general securities matters. Representative experience includes:
- Acted for Novacap through the life cycle of its investments in various platforms including KDC/One, GHP, Noble Foods, Multy Home, Freedom Pet (Industries), iWeb and Nuvei (TMT/Financial Services)
- Acted for Growthcurve Capital in its investment in Mistplay
- Acted for BonLook and its shareholders, including Walter Capital, in its sale to L-Catterton-backed FYidoctors
- Acted for Logistec in its acquisition of marine terminals from Fednav, and in its privatization and sale to Blue Wolf Capital for approximately $1.2 billion
- Acted for Nuvei in various acquisitions including privatization of AIM-listed SafeCharge for US$889 million, in various equity financings and secondary rounds, including its Canadian IPO at $833 million, representing the largest tech IPO on the TSX at the time, and its US IPO on the Nasdaq at US$420 million
- Acted for the syndicate of underwriters in the IPOs for Coveo, Stingray
- Acted for Goodfood, Taiga Motors, Xybion and Lumenpulse in go-public transactions
Caitlin is an active member and regular speaker at the American Bar Association’s Mergers & Acquisitions Committee and a key member of Fasken’s U.S. and International Practice initiatives.
Caitlin has served on numerous not for profit Boards, including the board of her alma mater, Lower Canada College, the St-Mary’s Hospital Foundation, the Centaur Theatre and the Canadian Club. She also serves as a director for Young Canadians in Finance (YCIF). Within the firm, Caitlin serves on the Capital Markets, Mergers & Acquisitions Steering Committee, is a member of the partnership accession committee for the Québec region and previously served as head of student recruitment for the Montreal office.
