Overview

This session will review court cases that consider the interpretation and enforcement of Right of First Refusal (ROFR) provisions, including the circumstances in which ROFR provisions were found to be triggered, and the obligation of good faith in the exercise of a ROFR. This session will provide practical takeaways and drafting tips based on the themes that emerge in the case law.
