Fasken Martineau acted on behalf of the Société québécoise des infrastructures (SQI) in the context of a project for the turn-key completion of a new hospital in Baie-St-Paul. This project, evaluated at $270 million, includes the design and construction of a new 34,676 m² hospital with a 103-bed residential and long-term care centre (CHSLD) as well as the demolition of the existing hospital. Fasken Martineau’s mandate began with a review of the request for proposal documents. We also drafted the turn-key contract and its schedules, and reviewed the performance requirements. We also advised SQI on the turn-key structure and issues relating to funding and taxation. In addition to our work on risk-allocation issues, we gave opinions on the aspects relating to the legal framework of the contract awarding process, including compliance with the rules of ethics and integrity, project funding and contractor remuneration. In the course of this mandate, we were called upon to give legal advice on a variety of issues pertaining to the project as a whole as well as the contract awarding process.
