On February 2, 2017, Agropur Cooperative, Canada’s largest dairy cooperative, acquired the assets of Scotsburn Cooperative Services Limited. The agreement covers plants in Truro, Nova Scotia, and Lachute, Quebec that manufacture more than 50 million litres of frozen dairy products per year. The total annual sales of the acquired business exceed $150 million.
The Cooperative fully believes that the acquisition of the assets of Scotsburn will help combine dairy processing assets in the hands of milk producers and that it will also enable the cooperative to better serve its retail partners on a national basis. This transaction will also strengthen Agropur’s presence in the ice cream and novelties market and widen its overall offering of national and private brands.
Fasken Martineau advised Agropur Cooperative in this acquisition with a team led by Diane Bertrand that included Marie-Eve Clavet, Sylvie Bourdeau, Charles Alexandre Brosseau and Dan Su (M&A), Huy A. Do, Grant LoPatriello, Leslie J. Milton (Competition), Alain Ranger and Paul Cabana (Tax), Pierre-Olivier Charlebois and Jean-Philippe Therriault (Environment), and Margarita Altankova (Banking).
