On December 19, 2023, SCP Resource Finance LP, in its role as lead underwriter, completed a bought deal private placement offering of 38,235,294 subscription receipts of Nighthawk Gold Corp. ("Nighthawk”), at a price of C$0.34 per subscription receipt, for aggregate gross proceeds of C$13 million, which reflects a partial exercise of the Underwriter’s Option (the “Offering”). The Offering was completed in connection with a business combination between Nighthawk and Moneta Gold Inc. announced on November 28, 2023.
The net proceeds raised from the Offering are expected to be used by the combined entity to fund the exploration and advancement of the Tower Gold Project and Colomac Gold Project, for working capital, and general corporate purposes.
